Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Nexamac website and platform (the "Service"). Nexamac is a product of NGK Machine Tools (S) Pte Ltd ("NGK Machine Tools", "we", "us", or "our"), which operates the Service. By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What Nexamac provides

Nexamac is an AI-powered platform that helps individuals and organisations maintain and troubleshoot their machines more quickly and easily. Subscribers can ask questions about machine manuals using an AI assistant, browse a catalog of machines by brand and model, and request access to additional manuals. For organisation accounts, Nexamac also provides preventive maintenance scheduling, maintenance tracking, and related fleet management tools.

Nexamac is a software and information-access service. It is not a publisher, reseller, or distributor of manufacturer documentation. The manuals referenced or made available for chat through the Service were lawfully obtained by NGK Machine Tools in the ordinary course of buying, selling, and servicing used machinery over many years. Your subscription fee is charged for access to the Nexamac software, AI assistant, and platform features described above, and not as a fee for the purchase, license, or distribution of any specific manufacturer's copyrighted material.

2. Accounts and subscriptions

You must provide accurate information when creating an account and are responsible for keeping your login credentials secure. Individual subscriptions are billed as described at signup (currently: an initial period, followed by a recurring monthly fee) and may be cancelled at any time; cancellation stops future billing but does not refund amounts already charged, except where required by law. Organisation accounts are billed as agreed separately with Nexamac.

3. Acceptable use

You agree not to:

  • Copy, redistribute, republish, sell, or otherwise share any manual content obtained through the Service with any third party outside your own organisation's internal use;
  • Use automated tools to scrape, bulk-download, or extract manual content from the Service;
  • Use the Service in any way that infringes the intellectual property rights of any manufacturer or other third party;
  • Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service.

Access to manuals through the Service is for your own reference in connection with machines you own, operate, service, or otherwise have a legitimate need to maintain. It is not a license to republish that material.

4. Intellectual property and manufacturer content

All manuals, trademarks, brand names, model names, diagrams, and other manufacturer documentation referenced on or made available through the Service remain the property of their respective manufacturers or rights holders. Nexamac does not claim ownership of this material and makes it available to subscribers solely to support the maintenance and operation of machinery, as an incidental part of the Service.

Rights holder takedown requests. If you are a manufacturer, publisher, or other rights holder and believe material made available through the Service infringes your rights, please contact us at jacob@ngkservers.com with (1) identification of the material, (2) identification of your rights in that material, and (3) your contact information. We will review and respond to legitimate requests promptly, including removing or restricting access to the material where appropriate.

5. AI-generated answers

Answers provided by the Nexamac AI assistant are generated automatically based on available manual content and may contain errors, omissions, or inaccuracies. AI answers are provided for informational and reference purposes only and do not replace the manufacturer's original documentation, professional judgment, or applicable safety procedures. You are responsible for verifying critical information (including safety, electrical, and mechanical specifications) against the original manufacturer documentation before acting on it.

6. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Nexamac does not warrant that any manual content is complete, current, or free of error.

7. Limitation of liability

To the maximum extent permitted by law, Nexamac and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service, including any reliance on AI-generated answers or manual content. Nexamac's total liability for any claim arising from the Service will not exceed the amount you paid to Nexamac in the twelve (12) months preceding the claim.

8. Termination

We may suspend or terminate your access to the Service if you violate these Terms, including the acceptable use restrictions in Section 3. You may cancel your subscription at any time through your account or by contacting us.

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.
